August 2021 - Der Vorstand der tokentus investment AG (die "Gesellschaft") (WKN A3CN9R / ISIN: DE000A3CN9R8) hat am 25.08.2021 nach Börsenschluss der Börse München mit Zustimmung des Aufsichtsrats vom gleichen Tag den Beschluss gefasst, unter teilweiser Ausnutzung des Genehmigten Kapitals 2021 / I eine Kapitalerhöhung gegen Bareinlagen unter Ausschluss des Bezugsrechts der Altaktionäre durchzuführen. Das Grundkapital der Gesellschaft von derzeit € 3.982.500,00 soll hiernach um bis zu € 398.250,00 gegen Bareinlagen durch Ausgabe von bis zu 398.250 neuen, auf den Namen lautenden nennwertlosen Stückaktien ("Neue Aktien") auf bis zu EUR 4.380.750,00 erhöht werden. Der Ausgabebetrag je Neuer Aktie beträgt € 2,38. Die Neuen Aktien sind ab dem 1. Januar 2021 gewinnanteilsberechtigt. Sie werden nach Eintragung der Durchführung der Kapitalerhöhung im Handelsregister in die bestehende Notierung im Freiverkehr der Börse München, dort im Qualitätssegment m:access der Börse München, einbezogen. Das gesetzliche Bezugsrecht der Aktionäre ist der satzungsmäßigen Ermächtigung der Hauptversammlung vom 06.07.2021 bzw. § 3 Ziffer 3.5 Sätze 1, 2 und 4 Buchstabe (b) der Satzung ausgeschlossen. Ein öffentliches Angebot findet nicht statt. Es handelt sich um eine Privatplatzierung bzw. eine prospektfreie Platzierung nach Art. 1 Abs. 4 Buchstabe b) bzw. c) der Verordnung (EU) 2017 / 1129 des Europäischen Parlaments und des Rates vom 14. Juni 2017 sog. EU-Prospektverordnung). Die (Privat-)Platzierung wird unmittelbar nach dieser Mitteilung eingeleitet. Die Gesellschaft plant, den überwiegenden Teil des Nettoerlöses aus der Kapitalerhöhung für den Erwerb einer Later-Stage-Beteiligung sowie für möglicherweise weitere im Jahr 2021 anstehende Erwerbsmöglichkeiten im Einklang mit der Wachstumsstrategie der Gesellschaft und/oder für allgemeine Unternehmenszwecke zu verwenden.
