DGAP-Ad-hoc: JENOPTIK AG / Schlagwort(e): Firmenübernahme Jenoptik stärkt globales Photonik-Geschäft durch Übernahme der Berliner Glas Medical und der SwissOptic Die JENOPTIK AG (FSE: JEN / ISIN: DE000A2NB601) erwirbt von der Berliner Glas GmbH, einem 100-prozentigen Tochterunternehmen der ASML Holding N.V., jeweils 100 Prozent der Anteile an der BG Medical Applications GmbH ("Berliner Glas Medical"), einem Anbieter hochpräziser und maßgeschneiderter optischer Komponenten für die Medizintechnik mit Sitz in Berlin, sowie der SwissOptic AG, einem auf die Endmärkte Halbleiter, Medizintechnik und Messtechnik fokussierten Spezialisten für die Entwicklung und Herstellung optischer Komponenten und Baugruppen mit Hauptsitz in Heerbrugg/Schweiz und der chinesischen SwissOptic Co., Ltd. mit Sitz in Wuhan/China. Der Kaufpreis liegt bei rund 300 Mio. Euro. Für das Jahr 2022 soll der Umsatzbeitrag der erworbenen Gesellschaften bei rund 130 Mio Euro liegen. In den kommenden Jahren wird beim Umsatz eine Wachstumsrate im niedrigen zweistelligen Prozentbereich mit einem attraktiven Margenprofil erwartet. Der Aufsichtsrat der JENOPTIK AG hat der Transaktion bereits zugestimmt. Die Transaktion bedarf noch der Freigabe durch das deutsche Bundeskartellamt.
