Delivery Hero welcomes new Supervisory Board Member at 2025 Annual General Meeting
Berlin, June 18, 2025 – Delivery Hero SE ("Delivery Hero" or the "Company"), the world’s leading local delivery platform, welcomed Judith Jungmann to its Supervisory Board at its 2025 Annual General Meeting (AGM) today. The Company additionally bid farewell to its long-standing Supervisory Board member, Dr. Martin Enderle, who was first appointed as Supervisory Board chair in 2017. Dr. Enderle had announced his resignation at Delivery Hero’s 2024 AGM, subject to a full transition of his duties to the Supervisory Board’s current chair, Kristin Skogen Lund. With Dr. Enderle’s resignation and the terms of two Supervisory Board members expiring, the AGM resolved on the new composition of the Supervisory Board as follows: Newly elected Member of the Supervisory Board:

Delivery Hero’s Supervisory Board is composed of eight members and advises and supervises the Company’s Management Board. Niklas Östberg, CEO of Delivery Hero, said: "We are pleased with the outcome of the elections at today’s AGM. Kristin Skogen Lund, Chair of the Supervisory Board, said: "We welcome Judith Jungmann, and congratulate Scott Ferguson and Dimitrios Tsaousis on their re-election to the Supervisory Board. The Supervisory Board looks forward to guiding Delivery Hero in its next phase of growth and innovation. We thank the shareholders for their trust, and Dr. Martin Enderle for his guidance and dedication during the past eight years." The Annual General Meeting also approved all other resolution proposals presented by the Management Board and Supervisory Board by a large majority. These included discharging the Management Board and Supervisory Board for the 2024 financial year, appointing KPMG AG as an auditor for the 2025 financial year, approving the 2024 financial year remuneration report, and renewing authorizations for virtual general meetings, as well as various capital measures. Shareholders also approved a domination agreement and a profit and loss transfer agreement between Delivery Hero SE and Delivery Hero MENA Holding GmbH.
