Enapter AG: Capital increase from authorized capital Hamburg, 07. May 2025 The Executive Board and Supervisory Board of Enapter AG ("Enapter") today resolved on a capital increase against cash contributions by issuing new shares from the company's authorized capital ("Offer"). The shareholders of Enapter will be granted statutory subscription rights by way of indirect subscription rights. The issue volume amounts to up to EUR 6 million. Up to 2,068,965 new shares will be issued at a subscription price of EUR 2.90 per share. This corresponds to a discount of approx. 5% on the weighted XETRA average price of Enapter shares over the last 20 trading days. Shares not subscribed for by shareholders on the basis of the subscription right or in the context of any oversubscription within the subscription period are to be realized by the company in the context of a private placement.
Enapter intends to use 100% of the net issue proceeds to finance working capital.
