EQS-Ad-hoc: Deutsche Pfandbriefbank AG / Key word(s): Bond Deutsche Pfandbriefbank AG (“pbb”) has decided today to offer to partially repurchase in a public tender Tier 2 bonds in a total volume of up to EUR 300 mln. against payment in cash. The repurchase offer pertains to the notes due February 2027 with ISIN DE000A2DASM5 („February 2027 Notes“) as well as the notes due June 2027 with ISIN XS1637926137 („June 2027 Notes“ and together with the February 2027 Notes „Old Tier 2 Notes “).
At the same time, pbb has decided today to issue new Tier 2 notes in the expected nominal amount of up to EUR 300 mln. („New Tier 2 Notes“). The repurchase is subject to a successful issuance of the New Tier 2 Notes. The repurchase offer is only valid outside of the United States of America. More details on the respective buyback price, the maximum buyback volume, the offer period, the preferential treatment pertaining to the subscription of the New Tier 2 Notes as well as further information and restrictions on the repurchase are available in a Tender Offer Memorandum dated 24 June 2025, which can be obtained from Kroll Issuer Services Limited (https://deals.is.kroll.com/pbb) as Tender Agent in connection with the repurchase offer.
