KGaA on November 4, 2020, authorized the general partner of Ströer SE & Co. KGaA pursuant to section 71 (1) no. 8 AktG to acquire treasury shares until November 3, 2025 and to retire the acquired treasury shares without any further resolution of the Annual General Meeting. Based on this authorization, Ströer SE & Co. KGaA acquired a total of 1,089,988 treasury shares. Based on the authorization of the Annual General Meeting of November 4, 2020, the general partner resolved on August 8, 2023 to cancel the 1,089,988 treasury shares acquired by the Company and to reduce the share capital by EUR 1,089,988 from EUR 56,691,571.00 to EUR 55,601,583.00 as a result. This corresponds to around 1.923% of the share capital before the cancellation and capital reduction. The share capital of Ströer SE & Co. KGaA amounts to EUR 55,601,583.00 after the cancellation of the shares and is divided into 55,601,583 shares with a notional interest in the share capital of EUR 1.00 per share.
