TEGEVJUHI ARUANNE

Pärast peaaegu kahekümne aasta kestnud edukat äritegevust Bulgaaria kinnisvaraturul on Arco Vara AS juhatus alustanud strateegilist väljumisprotsessi, mille lõppeesmärgiks on ettevõtte täielik lahkumine Bulgaaria turult. Otsuse kinnitas 2025. aasta juulis ettevõtte nõukogu, kes hindas põhjalikult Arco Vara pikaajalist strateegiat ning seniseid ja tulevasi arenguvõimalusi erinevatel turgudel.

Arco Vara nõukogu uus esimees on senine nõukogu liige Kert Keskpaik. Siiani nõukogu juhtinud Tarmo Sild jätkab nõukogu liikmena.

Arco Vara kontserni kuuluvad ettevõtted alustavad Tallinnas kahe uue elukinnisvara arendusprojekti ehitust.

On 5 June 2025, the Annual General Meeting of Arco Vara AS adopted the decision to issue a targeted share offering to specific investors in order to increase the company’s share capital.

Arco Vara CFO Tiina Malm is leaving Arco Vara and board member Kristina Mustonen has started the search for a new CFO for the company.

A subsidiary of Arco Vara, Aktsiaselts Kodulahe II OÜ, has purchased properties with a building permit at Spordi 3a and 3b Kristiine Tallinn. The development will consist of two buildings and 7,600 m² of residential real estate (gross building area) with an underground parking lot. The buildings will have a total of 56 apartments, several of which have a balcony or terrace. Pre-sales of Spordi 3a and 3b apartments will begin in the second quarter of 2025, and homeowners will receive the keys by the end of 2026. The total investment in the project is 15 million euros. The buildings will be built by Arco Vara's construction company Arco Tarc OÜ.

Arco Vara AS informs that the list of shareholders who are entitled to dividends shall be fixed on 6^th of March 2025, as at the end of the working day of Nasdaq CSD Estonian Settlement System, and therefore the dividend payment ex-date is on 5^th of March 2025. From that date the new owner of the shares is not entitled to dividends for the year 2023 paid out on the 13^th of March 2025.

Arco Vara AS conducted a bond issue as a result of which bonds in the amount of 4,000,000 euros were issued.

Arco Vara AS informs that the list of shareholders who are entitled to dividends shall be fixed on 6^th of December 2024, as at the end of the working day of Nasdaq CSD Estonian Settlement System, and therefore the dividend payment ex-date is on 5^th of December 2024. From that date the new owner of the shares is not entitled to dividends for the year 2023 paid out on the 13^th of December 2024.

The Tallinn City Government has adopted the detailed spatial plan of a 1.42 hectare plot at Soodi 6 owned by Kodulahe Kvartal OÜ, a subsidiary of Arco Vara.

Arco Vara plans to issue bonds on 13.12.2024 in the maximum amount of 4 million euros with maturity date no later than 12.12.2026. The maximum amount of bonds shall be 400 with the nominal value of 10 000 euros. Planned interest rate is 10% per annum and interest payments will be made quarterly. The priority of subscribing bonds is the order of applications, i.e. first come, first served. Management board is authorized to change the conditions of the issue.
